Isn't you 409a valuation then prior to the pre seed round. Please, get a lawyer who knows startup world to talk about this. Reddit is great, but you want lawyer to look at your papers and ask the company some questions.

You guys might as well answer what are your favorite type of apple, same info i would get for my question, which is nothing. I still dont get the entitlement of people NOT answering the original question, yet demanding more details. To what? So they can give their opinion on some topic untelated to the question? I did not need opinions, I looked for facts for same case on other founders. If the question does not apply to you, you can simply do not answer. No getting cocky because I dont you want your opinion or theory. A lawyer by the way will also not be qualified to answer, since himself might have, yet again, not founded a startup that took off after regulatory intervention. Lawyer here, but this isn't formal legal advice of course :) Good news for your budget: HIPAA almost certainly doesn't apply to you. It covers health care providers and insurers, plus the vendors that handle patient data on their behalf. An indie pregnancy app that users download and type into themselves is none of those, so a HIPAA advisor is not what you need right now. What actually reaches you is the FTC Health Breach Notification Rule, which covers consumer health apps, and the FTC has enforced it against period and fertility apps for sharing data with ad networks. Your real exposure sits in the analytics and advertising SDKs rather than in your disclaimer text. Pull up every third-party SDK. In the building and, check what it's actually transmitting. Washington and Nevada also passed consumer health data laws that reach apps your size, and Washington's lets individuals sue directly, which is unusual and worth knowing about. Your disclaimers already cover the medical advice angle better than most apps I see. Spend the money you were saving for the advisor on the SDK audit instead.
