    Here here. It is like girlfriends. The more you have, the more valuable you are to the others. Your lead investor wanted a nice slaughter on the cheap. Recommend pivoting to girlfriends or investors that make the lead investor want you even more.

    Unfortunately, I haven’t been through exactly the same situation, but went through one where the lead investor kept us on the hook with the execuse of “due diligence”, and started changing the deal terms 3 weeks before closing. There are several details such as your cap-able, runway left, customer base etc, I don’t know, but since you mentioned that it’s a loss making company, I’m assuming that the runway is quite short and cash in bank is perhaps the biggest concern at the moment, which eliminates any expensive option such as taking a legal action against this lead investor. So this is what I would suggest: \- immediately speak with the rest of the cap-table and assess where they stand. If they are passive, or looking to sell then there’s little you can do. \- if they are willing to back you, find out how many, test if you were to open a bridge round today, how many will opt in. \- if the existing cap-table is willing to lead or back a bridge, then going out to new investors can open up new avenues such as larger round, or a more fair acquisition, but that requires time, typically 6-12 months. This is, of course, based on very limited information and based on a lot of assumptions on my part, so take it with a pinch of salt.

    You have 4 options 1. Accept the 75K deal from the lead investor. But something tells me they won’t pay you. Or at least not immediately. There may be lock in and other unfair terms. 2. Shop around. Talk to other investors. Goto US. If another investor is willing to pump in money then your so called lead investor can be bought out. 3. Run the company to the ground. Let it run out of money and close it rather than giving it to the lead investor. 4. Cut cost and become default alive. If you can survive on the revenue you get the biggest leverage. With AI and other advancements in technology it may be possible to cut costs further and become cash flow neutral.

    It's very difficult for anyone to give advice on this without understanding the dynamics of the whole situation from beginning and what your company growth trajectory actually looks like. Right now your lead investor has you by the balls, and you are being lowballed. One way out of it is to find a new investor and get some offers on the table, or give the finger to your current investor and tell them you are shutting down, and hope for a negotiation. Either way, it's time for you to take control mate! Unfortunately, all of this depends on how strapped you are for cash. Bottomline, do not trust your current investor, not matter how respectful the conversation has been cause he doesn't give a fuck about you!

    i dont know where you are but 45% in some jurisdictions means they can block your decisions, but it doesnt sound like they are acting in your best interests. They've valued the 45% you don't own at €63,000 - im not sure how much of that 45% your lead investor has, but that's no money at all for a real investment firm so i'd call their bluff and see if you can find someone to buy their share off them. The other investors you spoke to would buy that up in a snap. It sounds like they've been holding your business hostage to force you to sell to them.
